Terms of Service

The effective date of this Agreement is March 29, 2011.

By using the Outside.in Service (as defined below) which is owned and operated by Outside.in Inc. ("Outside.in"), an affiliate of AOL Inc., and by accessing the Outside.in website located at http://outside.in and all linked pages owned and operated by Outside.in (the "Site"), you agree to be bound by these terms of service, as well as any other guidelines, rules and additional terms referenced herein, and all such guidelines, terms and rules are hereby incorporated herein by this reference (collectively, "Terms of Service").

Subject to your full compliance with the Terms of Service, Outside.in may offer to provide certain services and content, as described more fully on the Site, (the "Service"). Service shall include, but not be limited to, any service and content Outside.in performs for you, as well as the offering of any materials displayed or performed on the Site (including, but not limited to text, user comments, user-posted content, messages, information, data, graphics, news articles, photographs, images, illustrations, software, audio clips and video clips, ("Content") on the Site). These Terms of Service set out the legally binding terms with respect to your use of and our provision of the Site, Content and the Service. Please read these Terms of Service carefully. Your access to or use of the Service constitutes your acceptance of all the provisions of these Terms of Service. If you are unwilling to be bound by these Terms of Service, do not access or use the Site, Content or the Service.

1. Changes to the Agreement or the Outside.in Service.

You agree and understand that these Terms of Service, the Site and the Service may be modified by Outside.in at any time without prior notice, and such modifications will be effective upon Outside.in's posting of the new terms or upon implementation of the new changes on the Site or Service, as applicable. You agree to review the Terms of Service periodically so that you are aware of any modifications. Your continued use of the Site or the Service after any modifications indicates your acceptance of the modified Terms of Service. Unless expressly stated otherwise by Outside.in, any new features, new services, enhancements or modifications to the Site or Service implemented after your initial access to the Site shall be subject to these Terms of Service. Outside.in may change, suspend or discontinue the Site, Content and Service for any reason, at any time, including the availability of any feature or content. Outside.in may also impose limits on certain features and services or restrict your access to parts or all of the Site, Content and Service without notice or liability. If you do not agree with our modifications to the Terms of Service, the Site, Content or the Service, you agree that your only recourse is to stop using the Site, Content and the Service.

2. Eligibility.

You must be 18 years of age or over, or the legal age to form a binding contract in your jurisdiction if that age is greater than 18 years of age, to register as a neighbor of Outside.in or use the Site, Content and Service. If you do not qualify, do not use the Site, Content or the Service. Use of the Site, Content and Service is void where prohibited by applicable law, and the right to access the Site is revoked in such jurisdictions. By using the Site, Content or Service, you represent and warrant that you have the right, authority, and capacity to enter into these Terms of Service and to abide by all of the terms and conditions set forth herein. The Site, Content and the Service are administered in the U.S. and intended for U.S. users; any use outside of the U.S. is at the user's own risk and users are responsible for compliance with any local laws applicable to their use of the Site, Content and the Service.

3. Registration and Security

In order to use or access parts of the Site, Content or the Service, you may be required to register with Outside.in and to select a password and user name ("Username"). If you register, you agree to provide Outside.in with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of these Terms of Service, which may result in immediate termination of your account. You may not: (i) enter, select or use a false name or an email address owned or controlled by another person with the intent to impersonate that person; or, (ii) use as a Username a name subject to any rights of a person other than yourself without appropriate authorization. Outside.in reserves the right to refuse registration of, or cancel a Username in its discretion. You shall be responsible for maintaining the confidentiality of your password and are fully responsible for all activities that occur under your Username and password. Any Username and password you select to gain access to the Site, Content or the Service shall be for your personal use only. You agree to (a) immediately notify Outside.in of any unauthorized use of your Username or password.

4. User Responsibilities

You agree that you are responsible for your own use of the Site, Content and Service, including any Content you Submit, and for any consequences thereof. You agree that your use of the Site, Content and Service will be in compliance with all applicable local, state, national, and international laws, rules and regulations, including any laws regarding the transmission of technical data exported from your country of residence and all United States export control laws. Outside.in makes no claim of accuracy, integrity or quality of any Content made available by its users on the Site, Content or Service. Content submitted (see definition of "Submit," below) by users does not represent the advice, views, opinions or beliefs of Outside.in. Outside.in allows for the posting of links to third-party websites. Third-party websites' content, business practices and privacy policies are not under Outside.in's control, and Outside.in is not responsible for the content of any linked website or any link contained in a linked website, and does not guarantee the accuracy, integrity or quality of such Content. The inclusion of a link on the Site, Content or Service does not imply any endorsement by or any affiliation with Outside.in.

In accessing the Site, Content or Service or following links to third-party websites you may be exposed to Content that you consider offensive, indecent or objectionable. You agree that your only recourse is to stop using the Site, Content and Service. Under no circumstances will Outside.in be liable in any way for any Content, including any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of your use of any Content or Service. You agree that you must evaluate and bear all risks associated with the use of any Content, including any reliance on the content, integrity, and accuracy of such Content.

5. Prohibited Activities

Outside.in reserves the right to investigate and terminate your account if you have misused the Site, Content or the Service, or behaved in a way which could be regarded as inappropriate or whose conduct is unlawful or illegal. You shall not (and you agree not to allow any third party to):

Submit, upload, post, e-mail, transmit or otherwise make available any Content on or through the Site or Service ("Submit") that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;

a. Impersonate any person or entity;

b. "Stalk" or otherwise harass any person;

c. Harm minors in any way;

d. Create user accounts by automated means or under false or fraudulent pretenses;

e. Collect any information about other users or neighbors (including usernames and email addresses) for any purpose

f. Post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain password, account, or private information from any Outside.in user;

g. Submit false or misleading information to Outside.in;

h. Submit any Content or material that falsely expresses or implies that such Content or material is sponsored or endorsed by Outside.in;

i. Modify, adapt, translate, or reverse engineer any portion of the Site, Content or Service;

j. Reformat or frame any portion of the web pages that are part of the Site, Content or Service;

k. Upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;

l. Remove any copyright, trademark or any other rights notices contained in or on the Site, Content or Service;

m. Submit any third party materials or Content without such third party's prior consent;

n. Use the Site, Content or Service, intentionally or unintentionally, to violate any applicable local, state, national or international law. If you are an international user, you agree to comply with all local laws regarding online conduct and acceptable content;

o. Submit Content or materials that are unlawful or promote or encourage illegal activity;

p. Use of the Site, Content or Service to violate the security of any computer network, crack passwords or security encryption codes, transfer or store illegal material including materials that are deemed threatening or obscene;

q. Create or transmit unwanted electronic communications such as "spam" to other users or neighbors of the Site, Content or Service or otherwise interfere with other users' or neighbors' enjoyment of the Site, Content or Service;

r. Transmit any viruses, worms, defects, Trojan horses or other items of a destructive nature;

s. With the exception of accessing RSS feeds and an API feed, use any robot, spider, scraper or other automated means to access the Site, Content or Service for any purpose without our express written permission. Additionally, you agree that you will not: (i) take any action that imposes, or may impose in our sole discretion an unreasonable or disproportionately large load on our infrastructure; (ii) interfere or attempt to interfere with the proper working of the Site, Content or Service or any activities conducted on the Site; or (iii) bypass any measures we may use to prevent or restrict access to the Site, Content or Service;

t. Copy or store any Content offered on the Site or Service for other than your own use;

u. Collect or store personal data about other users in connection with the prohibited activities described in this paragraph.

v. In addition to any other rights granted to Outside.in hereunder, you acknowledge, consent and agree that Outside.in may access, preserve and disclose your account information and Content if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the TOS; (c) respond to claims that any Content violates the rights of third parties; (d) respond to your requests for customer service; or (e) protect the rights, property or personal safety of Outside.in, its users and the public.

6. Content You Submit

You may not Submit Content, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining prior consent of the owner of such proprietary rights. You understand and agree that Outside.in may review and delete any Content at any time for any reason (including, but not limited to, Content that in the sole judgment of Outside.in violates these Terms of Service or which might be offensive, illegal, or that might violate the rights of, harm, or threaten the safety of other users or neighbors of the Site, Content, Service or other website users) or for no reason at all. You agree that you will only Submit Content that you believe to be true and you will not purposely provide false or misleading information.

By Submitting Content on the Site or through the Service, you agree to and hereby do grant, and you represent and warrant that you have the right to grant, Outside.in, its contractors, partners, and the users of the Site, Content or Service a non-exclusive, royalty-free, fully paid up license to use, reproduce, publicly perform and display and distribute such Content, solely during the term of this Agreement. Outside.in may only distribute this Content for publication on Outside.in's partners' and users' websites ("Syndicated Sites") in the form of a headline, a short description or excerpt of each distributed article, and the URL provided by the User that links to the Content. Outside.in is explicitly not responsible for the manner or circumstances under which its users or other third parties may access or use such Content and is under no obligation to disable or otherwise restrict this access.

In order to publish Content from your website on the Outside.in Site via RSS feeds, you must complete the registration process by providing Outside.in with current, complete and accurate information as prompted by the registration form, including your e-mail address (Username) and password and the URL for your website. All such Content shall be deemed Content you "Submit" as set forth above and subject to the terms, conditions and restrictions set forth herein. Without limiting the generality of the foregoing, you agree that all Content you publish on the website you identified during registration process may be categorized by location ("GeoTagged") and published by Outside.in on the Outside.in Site, and any successor or substitute site designated by Outside.in, and its partner sites. You may not use the Service to establish RSS feeds to any websites not owned, leased or otherwise controlled by you. Outside.in reserves the right, in its sole discretion, to determine the page(s) and location(s) on the Site where such Content may be published. In order to disable the RSS feed, you must send a written request to Outside.in at contact@outside.in. However, you acknowledge that disabling the RSS feed shall not affect the licenses granted to Outside.in hereunder with respect to Content that has been Submitted prior to the time that Outside.in has disabled the RSS feed. From time to time, Outside.in's support staff may log in to the Service under your Username and password in order to maintain or improve service, including providing you assistance with technical issues. You hereby acknowledge and consent to such access.

7. Trademark License

You hereby grant, and agrees to grant, to Outside.in a non-exclusive, sublicensable, fully transferable right and license to use, display and reproduce your name, logo, URLs, trademarks and service marks (the "Trademarks") as applicable, in connection with the Site, Content and the Service. Outside.in acknowledges that your Trademarks are and will remain your exclusive property. Neither these Terms of Service nor any rights granted hereunder will operate as a transfer of any rights in or to any Trademark, except for the limited rights expressly granted hereunder. Outside.in will not take any action that would undermine, conflict with, or be contrary to your intellectual property rights, including, without limitation, any use of, or attempt to register, any trademark, service mark or trade name substantially similar to your Trademarks.

8. Outside.in Intellectual Property Rights

Outside.in, the Outside.in logo, the Outside.in design and other names, marks, logos, branding and other designs are trademarks or trade dress of Outside.in ("Outside.in Marks"), and may not be used without express written permission from Outside.in. You will not contest the validity or ownership of the Outside.in Marks or take any action in derogation of Outside.in's rights therein, including, without limitation, applying to register any trademark, trade name or other designation that is confusingly similar to the Outside.in Marks. All other trademarks not owned by Outside.in that appear on this Site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Outside.in.

The Site, the Service and Outside.in-originated Content included on the Site or Service, and the compilation of all Content on the Site and the Service, is the property of Outside.in and its licensors and protected by United States and international copyright laws. Except as set out in these Terms of Service, no use, distribution, display, performance or reproduction of any portion of the Site, the Service, or any Outside.in-originated Content is permitted without written permission from Outside.in.

9. Feedback

From time to time, you may provide Outside.in with Content in the form of feedback, comments, and suggestions for improvements relating to the Site, Outside.in-originated Content or the Service ("Feedback"). You hereby grant Outside.in an irrevocable, perpetual, non-exclusive, royalty-free, fully sublicensable, fully paid up, worldwide license to copy, modify, perform, display, distribute, disclose, create and distribute derivative works of, and otherwise use and dispose of such Feedback, and to make, have made, use, sell, offer to sell, import and otherwise exploit any implementation of Feedback, including without limitation the right to sublicense these rights through multiple tiers.

10. Feeds

Outside.in provides access to portions of the Site, Content and Service via RSS feeds; for the purposes of these Terms of Service, such access constitutes use of the Site, Content and Service. Outside.in asks that you use these features respectfully, as outlined in any documentation. You may not use these or any other features or the Site, Content or Service itself to allow the display of a substantial portion of the Outside.in database, or reproduce, duplicate or copy the Site, Content or Service. Outside.in reserves the right to change these features at any time and to disable access to the feeds at any time for any reason.

11. Copyright Complaints

Outside.in respects the intellectual property of others. It is Outside.in's policy to respond expeditiously to claims of copyright and other intellectual property infringement. Outside.in will promptly process and investigate notices of alleged infringement and will take appropriate actions under the Digital Millennium Copyright Act ("DMCA") and other applicable intellectual property laws. Upon receipt of notices complying or substantially complying with the DMCA, Outside.in may act expeditiously to remove or disable access to any material claimed to be infringing or claimed to be the subject of infringing activity and may act expeditiously to remove or disable access to any reference or link to material or activity that is claimed to be infringing. Outside.in will terminate access for subscribers and account holders who are repeat infringers.

Notifying Outside.in of Copyright Infringement: To provide Outside.in notice of an infringement, you must provide a written communication to the attention of "DMCA Infringement Notification Department" at contact@outside.in that sets forth the information specified by the DMCA (http://www.copyright.gov/title17/92chap5.html#512). Please note that you may be liable for damages (including costs and attorneys' fees) if you materially misrepresent that an activity is infringing your copyright.

Providing Outside.in with Counter-Notification: If we remove or disable access to content in response to an infringement notice, we will make reasonable attempts to contact the owner or administrator of the affected site or content. If you feel that your material does not constitute infringement, you may provide Outside.in with a counter notification by written communication to the attention of "DMCA Counter Notification Dept." at contact@outside.in that sets forth all of the necessary information required by the DMCA (http://www.copyright.gov/title17/92chap5.html#512). Please note that you may be liable for damages (including costs and attorneys' fees) if you materially misrepresent that an activity is not infringing the copyrights of others. If you are uncertain whether an activity constitutes infringement, we recommended seeking advice of an attorney.

12. Venue Only

If you enter into correspondence or engage in commercial transactions with users or other third parties in connection with your use of the Service, such activity is solely between you and the applicable third party. Outside.in shall have no liability, obligation or responsibility for any such activity. You hereby release, and agree to hold harmless, Outside.in from all claims arising from such activity.

13. Privacy

Use of the Site, Content and Service is also governed by our Privacy Policy, a copy of which is currently located at http://outside.in/privacy

14. Disclaimer

THE OUTSIDE.IN SITE, SERVICE AND ALL ASSOCIATED CONTENT IS PROVIDED BY OUTSIDE.IN ON AN "AS IS" BASIS. OUTSIDE.IN AND ITS LICENSORS AND AFFILIATES MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS, STATUTORY OR IMPLIED AS TO THE OPERATION OF THE SITE, CONTENT, OR SERVICE OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON THE SITE OR IN THE CONTENT OR IN ASSOCIATION WITH THE SERVICE. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, OUTSIDE.IN AND ITS LICENSORS AND AFFILIATES DISCLAIM ALL WARRANTIES, EXPRESS, STATUTORY, OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. OUTSIDE.IN AND ITS LICENSORS AND AFFILIATES FURTHER DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE INFORMATION, TEXT, GRAPHICS, LINKS OR OTHER ITEMS CONTAINED WITHIN THE OUTSIDE.IN SITE. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. OUTSIDE.IN IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER OF THE OUTSIDE.IN SITE. Outside.in does not warrant or covenant that the Site, Service or Content will be available at any time or from any particular location, will be secure or error-free, that defects will be corrected, or that the Site, Service or Content is free of viruses or other potentially harmful components. 15. Limitation on Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT OUTSIDE.IN AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF OUTSIDE.IN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SITE, CONTENT OR THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SITE OR SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD-PARTY ON THE SITE OR THE SERVICE; OR (v) ANY OTHER MATTER RELATING TO THE SITE, CONTENT OR THE SERVICE. 16. Indemnity

You agree to indemnify, defend and hold Outside.in, its parents, subsidiaries, affiliates, officers and employees, harmless, including costs and attorneys' fees, from any claim or demand made by any third-party due to or arising out of (i) your access to the Site, (ii) your use of the Site, Content, or the Service or Content you Submit, (iii) the violation of these Terms of Service by you, or (iv) the alleged or actual infringement by you, or any third party using your account or Username or password, of any intellectual property or other right of any person or entity, including without limitation Content you Submit.

17. Contact and Violations

Please contact us with any questions regarding these Terms of Service. Please report any violations of the Terms of Service to contact@outside.in.

18. Termination; Suspension

Outside.in may, in its sole discretion, at any time and for any reason, terminate or cease providing the Site, Content and Service, terminate this Agreement, or suspend or terminate your account. In the event of termination, your account will be disabled and you may not be granted access to your account or any files or other content contained in your account although residual copies of information may remain in our system for some time for back-up purposes. Applicable provisions of the general Terms of Service (including the section regarding limitation of liability), shall survive expiration or termination.

19. Waiver and Severability of Terms

The failure of Outside.in to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. If any provision of the Terms of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms of Service remain in full force and effect.

20. Miscellaneous

If there is any dispute about or involving the Site, Content or Service, you agree that the dispute will be governed by the laws of the State of New York without regard to its conflict of law provisions. You agree to the exclusive personal jurisdiction of and venue in the state and federal courts of the State of New York. No agency, partnership, joint venture, or employment is created as a result of these Terms of Service and you do not have any authority of any kind to bind Outside.in in any respect whatsoever. Outside.in may provide you with notices, including those regarding changes to the Terms of Service by email, regular mail or postings on the Site or the Service. These Terms of Service are not assignable, transferable or sublicensable by you except with Outside.in's prior written consent. Outside.in may assign its rights or delegate its obligations at any time without your consent. The section titles in these Terms of Service are for convenience only and have no legal or contractual effect. These Terms of Service constitute the entire agreement between you and Outside.in with respect to the subject matter hereof and supersede and replace all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.

Additional Terms for Outside.in for Bloggers Service ("Outside.in for Bloggers Terms")

IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF ANOTHER PERSON OR ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH PERSON OR ENTITY TO THESE TERMS, IN WHICH CASE THE TERM "YOU" SHALL REFER TO SUCH PERSON ENTITY. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS, OUTSIDE.IN IS NOT WILLING TO PROVIDE THE OUTSIDE.IN FOR BLOGGERS SERVICE TO YOU.

Introduction

The Outside.in for Bloggers Service (formerly known as GeoToolkit) is a tool you can use to submit your content to Outside.in so that it will be categorized by location ("GeoTagged") and distributed on Outside.in and other sites. These Terms constitute an agreement between you and Outside.in with respect to the Outside.in for Bloggers Service and supplement the Outside.in Terms of Service and Privacy Policy, which are incorporated herein by reference, including without limitation those provisions pertaining to Outside.in for Bloggers Service eligibility, registration and security, user responsibility, prohibited activities, copyright complaints, disclaimers, limitation on liability and indemnity. All capitalized terms not defined in these Terms have the meanings ascribed to them in the Terms of Service. Any agent or agency acting on your behalf shall also be bound by the Terms of Service, Privacy Policy and these Terms.

Registration.

To register for the Outside.in for Bloggers Service, you must complete the registration process by providing Outside.in with current, complete and accurate information as prompted by the registration form, including your e-mail address (username) and password, the URL for your website where your Content is published, and an RSS or Atom feed that syndicates your content. From time to time, Outside.in's support staff may log in to the Outside.in for Bloggers Service under your Username and password in order to maintain or improve service, including providing you assistance with technical or billing issues. You hereby acknowledge and consent to such access. Registration for the Outside.in for Bloggers Service is subject to Outside.in's prior approval and your continued compliance with these Terms and any related agreements. Outside.in reserves the right to refuse registration for the Outside.in for Bloggers Service to any applicant or participant at any time in its sole discretion.

Cross-Publishing on the Outside.in Site.

You agree that all Content you publish on the website you identified during registration process for Outside.in for Bloggers may be GeoTagged and published by Outside.in on the Outside.in Site, and any successor or substitute site designated by Outside.in, and its partner sites. Outside.in reserves the right, in its sole discretion, to determine the page(s) and location(s) on the Site where such Content may be published. All such Content shall be deemed Content you "Submit" as set forth in the Terms of Service and subject to the terms, conditions and restrictions set forth therein. In order to disable the RSS feeds, you must send a written request to Outside.in at contact@outside.in. However, you acknowledge that disabling the RSS feed shall not affect the licenses granted to Outside.in hereunder with respect to Content that has been Submitted prior to the time that Outside.in has disabled the RSS feed.

Restrictions.

You may not: (a) use the Outside.in for Bloggers Service to Submit or GeoTag any Content you do not own or in which you do not have sufficient rights or (b) engage in any practices that Outside.in determines, in its sole discretion, are deceptive or otherwise constitute abuse of the Outside.in for Bloggers Service, including without limitation falsely associating location, place and other data with Content. You acknowledge and agree that portions of the Outside.in for Bloggers Service constitute or contain trade secrets of Outside.in and its licensors. Accordingly, you agree not to disassemble, decompile or otherwise reverse engineer any of the foregoing, in whole or in part, or permit or authorize a third-party to do so, except to the extent such activities are expressly permitted by law notwithstanding this prohibition. The licenses granted hereunder will terminate immediately without notice if you fail to comply with the Terms. You will not remove or obscure any copyright or trademark notice or other rights notices used by Outside.in or its licensors. All rights not expressly granted hereunder are reserved by Outside.in and its licensors.

Termination.

Subject to Outside.in's acceptance of your registration for the Outside.in for Bloggers Service, these Terms are effective immediately. You may terminate your use of the Outside.in for Bloggers Service at any time by sending written notice (including by email) to Outside.in at contact@outside.in. These Terms will be deemed terminated fifteen (15) days following receipt of such notice. Outside.in may, in its sole discretion, at any time and for any reason, terminate or cease providing the Outside.in for Bloggers Service, terminate these Terms, or suspend or terminate your account in accordance with the Terms of Service. Neither the termination of the Outside.in for Bloggers Service nor the termination of these Terms shall terminate the Terms of Service unless expressly stated in the termination notice.

General.

You agree and understand that these Terms and the Outside.in for Bloggers Service may be modified by Outside.in at any time without prior notice, and such modifications will be effective upon Outside.in's posting of the new terms and/or upon implementation of the new changes on the Site. Unless expressly stated otherwise by Outside.in, any new features, new services, enhancements or modifications to the Outside.in for Bloggers Service implemented after your initial registration for Outside.in for Bloggers shall be subject to these Terms. Outside.in may change, suspend or discontinue the Outside.in for Bloggers Service including any Content for any reason, at any time, including the availability of any feature or content. Outside.in may also impose limits on certain features and services or restrict your access to parts or all of the Outside.in for Bloggers Service without notice or liability. YOU AGREE TO REVIEW THE TERMS PERIODICALLY SO THAT YOU ARE AWARE OF ANY MODIFICATIONS. YOUR CONTINUED USE OF THE OUTSIDE.IN FOR BLOGGERS SERVICE AFTER ANY MODIFICATIONS INDICATES YOUR ACCEPTANCE OF THE MODIFIED TERMS. IF YOU DO NOT AGREE WITH OUR MODIFICATIONS TO THE TERMS OR THE OUTSIDE.IN FOR BLOGGERS SERVICE, YOU AGREE THAT YOUR ONLY RECOURSE IS TO TERMINATE YOUR ACCOUNT AND STOP USING THE OUTSIDE.IN FOR BLOGGERS SERVICE. These Terms, together with the Terms of Service and Privacy Policy, are the complete and exclusive statement of the agreement between the parties regarding the subject matter hereof, superseding any and all other agreements, representations and communications (both written and oral) regarding such subject matter. For the avoidance of doubt, the Outside.in for Bloggers Service, the Outside.in Site and all Content provided by a party under these Terms shall be deemed a "Service," "Site'" and "Content" as those terms are used in and governed by the Terms of Service or Privacy Policy, as supplemented by these Terms. In the event of a conflict between these Terms and any provision contained in the Terms of Service or Privacy Policy, these Terms shall prevail with respect to all matters pertaining to the Outside.in for Bloggers Service. Except as set forth in the first sentence of this paragraph, these Terms may only be modified, and any rights under it waived, by a written document executed by both parties.
